1. Platform Definition & Scope
- PaiSay is a membership-based local commerce discovery platform.
- The platform provides merchant offers, member-only access, QR-based visit attribution, and a merchant ranking engine.
- PaiSay is not a wallet, bank, or payment settlement service.
2. Eligibility & User Accounts
- Users must be above 18 years of age and registered with a valid mobile number (OTP based login).
- One membership per mobile number is permitted.
- Users are responsible for maintaining the confidentiality of their account.
3. Membership Terms (Customers)
- Membership is annual (₹1000/year).
- Activation occurs only after successful payment.
- Benefits include access to exclusive offers, verified merchant network, and QR-based participation features.
- PaiSay does not guarantee fixed savings.
4. Payment & Refund Policy
- Payments are processed via secure gateways (Razorpay etc.).
- Membership fees are generally non-refundable after activation.
- Refunds may only apply if a payment failed but the amount was deducted, or in case of a technical error confirmed by PaiSay support.
5. Merchant Offer Terms
- Merchants upload offers through the platform and must ensure they are genuine, lawful, and not misleading.
- PaiSay reserves the right to approve/reject offers and remove fake or spam content.
6. QR Scan Attribution Rules
- QR scan is allowed only for active members.
- Member must be physically present near the shop (GPS validation required).
- Only one scan per member per shop per day is permitted.
- Scans are for tracking visits, not for payment processing.
7. Ranking & Visibility Disclaimer
- Merchant rankings are algorithm-driven based on unique member visits, ratings, offer engagement, and consistency.
- PaiSay does not guarantee top ranking placement; manipulation attempts may result in suspension.
8. Sales Executive / Commission Terms
- Sales executives are onboarded after KYC approval.
- Commission is credited only when a customer pays directly through the app and membership is activated.
- Commission payout may have a lock period (7–15 days); renewal commission applies at reduced rates (e.g., 5%).
9. Prohibited Activities
Users, merchants, and executives must not create fake accounts, perform fraudulent QR scans, upload misleading offers, or abuse referral systems. Violation may lead to account termination, commission cancellation, or legal action.
10. Data Privacy & Location Consent
- PaiSay collects phone numbers, location data (for QR validation), browsing behavior, and payment status.
- By using the platform, you provide consent for GPS use. Data is not sold to third parties and is stored securely.
11. Limitation of Liability
PaiSay is not responsible for merchant service quality, product disputes, or losses due to expired offers. PaiSay only provides the digital platform infrastructure.
12. Suspension & Termination
PaiSay may suspend accounts for fraudulent activity or abuse. Users may stop using the platform anytime, but fees remain non-refundable.
13. Modifications to Terms
PaiSay may update Terms periodically. Continued use implies acceptance of revised Terms.
14. Governing Law & Jurisdiction
These terms are governed by Indian Law. Disputes are subject to the jurisdiction of courts in Varanasi, Uttar Pradesh.
